End-User License Agreement

IMPORTANT NOTICE: This platform is designed for children aged 8–18. If you are a school, teacher, or administrator registering students, or a parent or guardian, please read this Agreement carefully. By registering or permitting a minor to use BriBooks, you confirm that you have the authority to accept these terms on their behalf.

1. Definitions and Key Terms

The following terms, when used in this Agreement, shall have the meanings set out below:

• Cookie: A small amount of data generated by a website and saved by your web browser. It is used to identify your browser, provide analytics, and remember information about you such as your language preference or login information.
• Company / We / Us / Our: Youbooks Edtech Pte Ltd, 200 Cantonment Road, #06-01A, Southpoint, Singapore (089763), the entity responsible for BriBooks and for your information under this Agreement.
• Country: Singapore, where the Company is incorporated and headquartered.
• End User / You / Your: The individual or Organisation (as defined below) that accesses or uses the BriBooks platform. Where the End User is a Minor, references to 'You' shall be read as also applying to the Minor's Parent/Guardian or the Registered School, as applicable.
• Minor: Any individual under the age of 18, or under the age defined as a minor in the applicable jurisdiction, whichever affords greater protection.
• Parent/Guardian: The parent, legal guardian, or other person with parental responsibility for a Minor using the platform.
• Registered School / School: An educational institution that has registered with BriBooks and enrolled students (Minors) on the platform. The Registered School acts as the Organisation on behalf of its enrolled students.
• Organisation: The school, educational institution, business, or other entity on whose behalf an End User accesses or uses the platform.
• Service / Application / Software / Platform: The BriBooks creative writing platform, including the website accessible at https://www.bribooks.com/, associated mobile applications, and all related features and services.
• Third-Party Service: Advertisers, contest sponsors, promotional and marketing partners, and others who provide content or whose products or services may be made available through the platform.
• User-Generated Content (UGC): Any content, including text, images, book drafts, published works, and other materials, created by an End User through or on the platform.

2. Introduction and Acceptance of Agreement

This End-User License Agreement (the 'Agreement') is a binding legal agreement between you ('End User', 'you', or 'your') and Youbooks Edtech Pte Ltd ('Company', 'we', 'us', or 'our'). This Agreement governs your relationship with us and your use of the BriBooks platform. Each of you and the Company may be referred to as a 'Party', and together as the 'Parties'.

If you are using the platform on behalf of an Organisation, the terms 'End User', 'you', and 'your' apply collectively to you as an individual and to the Organisation. By using or purchasing a licence to the platform on behalf of an Organisation, you represent and warrant that you have authority to:

• Bind the Organisation to the terms of this Agreement.
• Register any Minor users on behalf of the Organisation.

By downloading, installing, accessing, or using the platform you:

• Confirm that you have all necessary permissions and authorisations to access and use the platform.
• If you are a Registered School or Organisation, confirm that you are authorised to accept this Agreement on behalf of enrolled Minor users.
• Acknowledge that you have read and understood this Agreement.
• If you are an adult (18 years of age or older) accessing the platform on your own behalf, represent that you are of legal age and of sound mind to enter into a binding agreement.
• If you are accessing the platform on behalf of a Minor, confirm that you are either the Minor's Parent/Guardian or the Registered School with authority to do so.
• Accept and agree to be legally bound by the terms and conditions of this Agreement.

If you do not agree to these terms, do not download, install, access, or use the platform. If you have already downloaded the platform software, delete it from your device.

The platform is licensed, not sold, to you by BriBooks for use strictly in accordance with the terms of this Agreement.

3. Minor Users, Parental Consent, and School Registration

3.1 Acknowledgement of Minor Users

BriBooks is a creative writing platform designed for children and young people aged 8 to 18 years ('Minors'). The Company acknowledges that the majority of End Users are Minors. Minors do not directly enter into this Agreement. Instead, binding consent is obtained from:

• The Registered School, where the school registers Minor students directly on the platform and accepts this Agreement on their behalf, or
• The Parent/Guardian of the Minor, where: (a) the school has shared a BriBooks registration link with the parent/guardian, who then completes the registration; or (b) the parent/guardian registers the Minor directly through the BriBooks portal at https://www.bribooks.com.

3.2 School Registration and Consent

Schools may register students on BriBooks either by registering them directly on the platform, or by sharing a BriBooks registration link with parents/guardians who then complete the registration. In either case, the school:

• Warrants that it has obtained all necessary parental or guardian consents required under applicable law (including but not limited to FERPA, COPPA, GDPR, and equivalent laws) prior to registering any student,
• Accepts this Agreement on behalf of its registered Minor students,
• Acts as the data controller or equivalent responsible party for the personal data of registered students under applicable education and data protection laws,
• Is responsible for ensuring that the use of BriBooks by its students complies with the school's own acceptable use policies, and
• Agrees to promptly notify BriBooks at support@bribooks.com in the event a registered student should be removed from the platform (e.g., upon leaving the school).

3.3 Parental Consent

Where a Minor uses the platform other than through a Registered School registration, the Minor's Parent/Guardian must accept this Agreement. By permitting a Minor to access or use BriBooks, the Parent/Guardian:

• Represents that they are the parent or legal guardian of the Minor,
• Consents to the collection, use, and processing of the Minor's personal data as described in our Privacy Policy, and
• Agrees to supervise the Minor's use of the platform in accordance with this Agreement.

3.4 Age Verification

BriBooks relies on Registered Schools and Parents/Guardians to accurately represent the age of Minor users. If we become aware that a Minor under the age of 8 has registered without appropriate consent, or that inaccurate age information has been provided, we reserve the right to suspend or terminate that account and delete associated personal data, subject to applicable law.

4. Children's Data Protection and Privacy

4.1 Commitment to Child Safety

The protection of children's personal data is of paramount importance to BriBooks. We comply with applicable children's data protection laws across the jurisdictions in which we operate, including but not limited to:

• The Children's Online Privacy Protection Act (COPPA), applicable to users in the United States.
• The General Data Protection Regulation (GDPR) and its provisions relating to children's data, applicable to users in the European Union and the United Kingdom.
• India's Digital Personal Data Protection Act (DPDP Act), applicable to users in India.
• Equivalent children's data protection legislation in other applicable jurisdictions.

4.2 Data Collected from Minors

We collect only the minimum personal data necessary to provide the platform to Minor users. Data collected may include a username, school affiliation, and content created on the platform. We do not knowingly collect sensitive personal information from Minors beyond what is necessary to operate the service. Please refer to our Privacy Policy at https://www.bribooks.com/privacy/ for full details of the data we collect and how we use it.

4.3 Parental Access and Deletion Rights

Parents/Guardians of Minor users have the right to:

• Review the personal data held by BriBooks relating to their child,
• Request correction of inaccurate personal data,
• Request deletion of their child's personal data, subject to any overriding legal obligations, and
• Withdraw consent to the processing of their child's personal data, which may result in the termination of the Minor's account.

4.4 No Targeted Advertising to Minors

BriBooks does not serve targeted or behavioural advertising to Minor users. We do not sell, rent, or otherwise disclose Minor users' personal data to third parties for advertising or marketing purposes.

5. Licence

Subject to the terms of this Agreement, BriBooks grants you a limited, non-exclusive, revocable, and non-transferable licence to:

• Download, install, and use the platform on one (1) computing device per single-user licence purchased and granted. If you wish to use the platform on multiple devices, you agree to acquire a licence for the number of devices you intend to use.
• Access, view, and use on such device the user-generated materials made available in or otherwise accessible through the platform, strictly in accordance with this Agreement and any other applicable terms and conditions.
• Install and use the trial version of the platform on any number of devices for a trial period of fifteen (15) days after installation.
• Receive updates and new features that become available during the one (1) year period from the date on which you purchased the licence to the platform.

6. Restrictions

You agree not to, and will not permit others to:

• Licence, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the platform, or make the platform available to any third party outside the scope of this Agreement.
• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the platform.
• Remove, alter, or obscure any proprietary notice (including any copyright or trademark notice) of BriBooks or its affiliates, partners, suppliers, or licensors.
• Use the platform for any purpose that is unlawful, harmful, abusive, threatening, defamatory, obscene, or otherwise objectionable.
• Upload, post, or otherwise transmit any content that infringes or misappropriates any third party's intellectual property rights, privacy rights, or other rights.

7. Intellectual Property

All intellectual property rights, including copyrights, patents, patent disclosures and inventions (whether patentable or not), trademarks, service marks, trade secrets, know-how and other confidential information, trade dress, trade names, logos, corporate names, and domain names, together with all goodwill associated there with, derivative works, and all other rights (collectively, 'Intellectual Property Rights') that are part of the platform and otherwise owned by BriBooks shall remain the exclusive property of BriBooks (or of its suppliers or licensors, as applicable).

Nothing in this Agreement grants you (or any Organisation) a licence to BriBooks' Intellectual Property Rights other than as expressly set out herein.

This Agreement conveys a limited licence to use BriBooks' Intellectual Property Rights solely as part of the platform and only for the effective term of the licence granted to you. Any use of BriBooks' Intellectual Property Rights independently of the platform or outside the scope of this Agreement shall constitute an infringement of BriBooks' Intellectual Property Rights.

You shall use the highest standard of care to safeguard the platform (including all copies thereof) from infringement, misappropriation, theft, misuse, or unauthorised access. Except as expressly granted herein, BriBooks reserves and retains all rights, title, and interest in the platform.

You (or the Organisation, as applicable) shall retain ownership of all Intellectual Property Rights in and to the User-Generated Content that you create through or with the assistance of the platform, subject to the licence granted to BriBooks in Section 9 (Image Upload Terms) below.

8. Your Suggestions

Any feedback, comments, ideas, improvements, or suggestions (collectively, 'Suggestions') provided by you to BriBooks with respect to the platform shall, to the extent permissible by law, become the sole and exclusive property of BriBooks. BriBooks shall be free to use, copy, modify, publish, or redistribute such Suggestions for any purpose and in any way without credit or compensation to you.

Where Suggestions are submitted by or on behalf of a Minor user, the Registered School or Parent/Guardian, as applicable, warrants that they have the authority to assign or licence such Suggestions to BriBooks on the Minor's behalf. To the extent that applicable law does not permit full assignment of a Minor's Suggestions, BriBooks is granted a worldwide, royalty-free, perpetual licence to use such Suggestions for platform improvement purposes.

9. Terms and Conditions for Image Upload

9.1 Copyright and Intellectual Property

By uploading images to BriBooks, you represent and warrant that you own or have obtained all necessary licences, permissions, and consents required to use and upload such images. You agree not to upload any images that infringe or violate any intellectual property rights, including but not limited to copyright, trademark, or trade secret rights. You agree to indemnify and hold BriBooks harmless from any claims or damages arising from alleged or actual infringement of intellectual property rights.

9.2 Content Standards

You acknowledge that BriBooks is a platform serving users of all cultures, religions, and backgrounds, including children. You must not upload any images that are discriminatory, defamatory, offensive, sexually explicit, violent, or otherwise inappropriate for a children's platform or for any particular community or religion.

9.3 Licence to Use Uploaded Images

By uploading images to BriBooks, you grant BriBooks a worldwide, royalty-free, non-exclusive, sublicensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display the images solely in connection with providing and improving the BriBooks service.

Important — Minors: BriBooks will not use the name, image, or likeness of any Minor user in any external promotional, advertising, or marketing material without the separate, explicit, written consent of the Minor's Parent/Guardian. Any such consent will be sought independently of this Agreement and may be withdrawn at any time.

9.4 Image Removal

BriBooks reserves the right to remove any images that violate these terms or are deemed inappropriate. BriBooks will not be liable for any damages or losses arising from the removal of such images.

9.5 User Conduct

You agree not to use BriBooks for any unlawful, harmful, or inappropriate purpose, including uploading images that are illegal, fraudulent, obscene, or harassing. You agree not to interfere with or disrupt BriBooks' services, servers, or networks.

10. Modifications to the Platform

BriBooks reserves the right to modify, suspend, or discontinue, temporarily or permanently, the platform or any service to which it connects, with or without notice and without liability to you, provided that where such modification materially affects the service provided to Registered Schools, BriBooks will endeavour to provide reasonable advance notice.

11. Updates to the Platform

BriBooks may from time to time provide enhancements or improvements to the features and functionality of the platform, which may include patches, bug fixes, updates, upgrades, and other modifications ('Updates'). Updates may modify or delete certain features and/or functionalities of the platform. You agree that BriBooks has no obligation to:

• Provide any Updates; or
• Continue to provide or enable any particular features and/or functionalities of the platform.

All Updates will be: (i) deemed to constitute an integral part of the platform; and (ii) subject to the terms and conditions of this Agreement.

12. Term and Termination

This Agreement shall remain in effect until terminated by you or BriBooks. BriBooks may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.

This Agreement will terminate immediately, without prior notice from BriBooks, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the platform and all copies thereof from your devices.

Upon termination of this Agreement, you shall cease all use of the platform and delete all copies from your devices. Termination will not limit any of BriBooks' rights or remedies at law or in equity in case of breach by you of any of your obligations under this Agreement.

Upon termination of a Minor's account — whether initiated by the Registered School, the Parent/Guardian, or BriBooks — BriBooks will handle the Minor's personal data in accordance with its Privacy Policy and applicable data protection law.

13. Indemnification

To the maximum extent permitted by applicable law, the following parties agree to indemnify, defend, and hold harmless BriBooks and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, and expenses (including reasonable legal fees) arising from or relating to:

• the use or misuse of the platform;
• failure to comply with any applicable law, regulation, or government directive;
• breach of this Agreement;
• any relationship with an Organisation or third party; or
• User-Generated Content created using the platform.

Minors: Indemnification obligations cannot be enforced against Minors under applicable law. Where the End User is a Minor, the indemnification obligation set out in this Section shall be borne exclusively by: (a) the Registered School, in respect of Minor students enrolled by that school; or (b) the Parent/Guardian, in respect of a Minor accessing the platform outside of a school registration. BriBooks relies on the Registered School's acceptance of this Agreement as the binding commitment on behalf of enrolled Minors.

14. No Warranties

The platform is provided to you 'AS IS' and 'AS AVAILABLE', with all faults and defects, and without warranty of any kind. To the maximum extent permitted by applicable law, BriBooks expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, BriBooks makes no warranty or representation that:

• The platform will meet your requirements or achieve any intended results,
• The platform will be compatible or work with any other software, applications, systems, or services,
• The platform will operate without interruption or be error-free,
• The platform, its servers, content, or emails sent by or on behalf of BriBooks are free of viruses, scripts, trojan horses, worms, malware, or other harmful components, or
• The accuracy, reliability, or currency of any information or content provided through the platform.

Some jurisdictions do not allow the exclusion of, or limitations on, implied warranties or applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to you.

15. Limitation of Liability

To the maximum extent permitted by applicable law, the entire liability of BriBooks and any of its suppliers under any provision of this Agreement, and your exclusive remedy, shall be limited to the amount actually paid by you for the platform in the twelve (12) months preceding the event giving rise to the claim.

In no event shall BriBooks or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, personal injury, or loss of privacy) arising out of or in any way related to the use of or inability to use the platform, even if BriBooks or any supplier has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

16. Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Waiver

No failure to exercise, and no delay in exercising, on the part of either Party, any right or power under this Agreement shall operate as a waiver of that right or power. No single or partial exercise of any right or power under this Agreement shall preclude further exercise of that or any other right granted herein. In the event of a conflict between this Agreement and any applicable purchase or other terms, the terms of this Agreement shall govern.

18. Amendments to This Agreement

BriBooks reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, BriBooks will provide at least thirty (30) days' prior notice before any new terms take effect. What constitutes a material change will be determined at BriBooks' sole discretion, provided that changes materially affecting the rights of Minor users or Registered Schools will always be treated as material changes.

Notice of changes will be provided by email to the registered account holder (including the Registered School's designated contact) and/or by prominent notice on the BriBooks website. By continuing to access or use the platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorised to use the platform and should notify us in writing within thirty (30) days of the notice of change.

19. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Singapore, excluding its conflict of law rules. Any dispute arising out of or in connection with this Agreement shall be subject to the non-exclusive jurisdiction of the courts of Singapore.

Notwithstanding the foregoing, your use of the platform may also be subject to other applicable local, national, or international laws. Where mandatory consumer or child protection laws of your jurisdiction confer rights upon you or Minor users that cannot be excluded by contract, those rights shall continue to apply.

20. Geographic Scope

BriBooks is incorporated in Singapore and operates globally. The platform is made available to users worldwide, including schools and students across multiple jurisdictions. While this Agreement is governed by Singapore law, BriBooks is committed to complying with applicable data protection, children's privacy, and consumer protection laws in the jurisdictions in which it operates.

Users accessing the platform from outside Singapore are responsible for ensuring compliance with any additional local laws or regulations applicable to their use of the platform, to the extent those laws are not addressed by this Agreement.

21. No Employment or Agency Relationship

No provision of this Agreement, or any aspect of the relationship between you and BriBooks, is intended to create, nor shall it be deemed or construed to create, any relationship between you and BriBooks other than that of an end user of the platform and the services provided. Nothing in this Agreement shall be construed as creating a partnership, joint venture, agency, franchise, or employment relationship between the Parties.

22. Equitable Relief

You acknowledge and agree that your breach of this Agreement may cause BriBooks irreparable harm for which monetary damages alone would be an inadequate remedy. In addition to any other remedies available at law, you acknowledge and agree that BriBooks may seek injunctive or other equitable relief to prevent, restrain, or remedy an actual, threatened, or continuing breach of this Agreement.

23. Limitation of Time to File Claims

Any cause of action or claim arising out of or relating to this Agreement or the platform must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred, to the extent permitted by applicable law.

24. Headings

The headings in this Agreement are for reference and convenience only and shall not affect the scope or interpretation of this Agreement.

25. Entire Agreement

This Agreement constitutes the entire agreement between you and BriBooks regarding your use of the platform and supersedes all prior and contemporaneous written or oral agreements between you and BriBooks. You may be subject to additional terms and conditions that apply when you use or purchase other BriBooks services, which BriBooks will provide to you at the time of such use or purchase.
